智通财经APP讯，升华兰德(08106)发布公告，由于公司控制权发生变动，董事会建议将公司中文名称由“浙江升华兰德科技股份有限公司”更改为“浙江芯化兰德科技股份有限公司”，而公司英文名称将由“Shenghua Lande Scitech Limited”更改为“Xinhua Lande Scitech Co., Limited”。
此外，董事会建议委任余铮先生为第九届董事会的执行董事，委任张明波先生为第九届董事会的独立非执行董事。该等建议委任将自股东于临时股东大会上批准之日起至本届董事会任期届满之日止期间生效。陈平先生及黄廉熙女士因彼等个人工作安排，均已分别辞任非执行董事及独立非执行董事职务，自临时股东大会结束时改选出新的执行董事就任起生效。
天健国际已辞任公司核数师，自2025年11月21日起生效，而国卫已获委任为公司的新核数师，以填补临时空缺，任期直至公司下届股东周年大会结束为止，惟须于临时股东大会上获股东批准。
