智通财经APP讯，四威科技(01202)发布公告，董事会于2025年11月27日举行的董事会会议上，审议并通过(其中包括)关于使用公积金弥补亏损的议案。
经大华审计，截至2024年12月31日，本公司财务报表累计亏损为人民币2.72亿元，盈余公积为人民币870万元(其中法定盈余公积为人民币870万元及任意盈余公积为人民币0元)，资本公积为人民币5.71亿元。本公司累计亏损主要由于2012年至2021年期间，本公司业务转型缓慢、产品迭代滞后、盈利能力不足、亏损持续累积，导致本公司未能把握光通信行业机遇所致。
根据《中华人民共和国公司法》、中国财政部《关于公司法、外商投资法施行后有关财务处理问题的通知》等法律、法规及规范性文件以及本公司公司章程的相关规定，本公司建议依序使用盈余公积人民币870万元及资本公积人民币5.71亿元(合计人民币5.797亿元)，用以弥补本公司累计亏损。本次使用公积金弥补亏损乃以本公司截至2024年末的累计亏损弥补至零为限。
本次使用用于弥补本公司累计亏损的资本公积来源于股东以货币、股权等方式出资形成的资本(股本)溢价，不属于特定股东专享或限定用途的资本公积金。
本次使用公积金弥补亏损方案实施完成后，本公司资本公积将减少至人民币3.077亿元，累计亏损将减少至零。
本公司实施本次使用公积金弥补亏损方案，有助于推动本公司达到相关法律法规及本公司的公司章程规定的利润分配条件，从而提升投资者回报能力及水平，实现本公司的高质量发展。
