南财智讯11月26日电，中信国际电讯（01883.HK）发布须予披露交易公告，公司与中信银行、中信银行(国际)、中信财务及中信财务(国际)于2025年10月17日订立2025年金融服务框架协议，拟重续存款、结算及信贷服务。其中，存款服务为非豁免持续关连交易，建议年度最高结余（含应计利息）为16亿港元，与现有上限持平，适用于自协议生效日至2025年12月31日止期间及截至2026年至2028年各财年。结算服务年度最高服务费为300万港元，获豁免遵守独立股东批准等程序。由于交易对方均为控股股东中信股份的附属公司，该交易构成须予披露交易及持续关连交易，适用百分比率超5%但低于25%。公司已成立独立董事会委员会，并委任卓亚融资有限公司为独立财务顾问，评估交易公平性与合理性。交易需经独立股东在股东大会上批准，控股股东须就相关议案放弃投票。董事会认为建议上限符合集团流动性需求，风险可控，不会对公司财务及运营造成重大不利影响。
