智通财经APP讯，思博系统(08319)发布公告，公司全资附属公司思博系统有限公司(ESL)于2022年10月24日向一名客户就供应若干软件许可及服务提交投标文件。ESL所提交之投标乃基于由一名软件产品供应商向ESL提供之一份报价。根据供应商报价，供应商已作好准备基于一许可计划以约定的价格向ESL提供软件产品，初始期由2023年3月至2026年3月，其后由2026年3月至2028年3月。随后，ESL获客户授予一项服务协议，据此ESL获委聘供应许可计划项下的软件产品。
ESL获供应商告知，供应商将自2026年3月起就第二个期限中止向ESL提供根据许可计划供应的软件产品。因此，ESL将无法继续根据服务协议的条款于第二个期限向客户提供许可计划项下的软件产品。鉴于上述情况，ESL一直与客户协商于首个期限结束后终止服务协议，并提供替代方案，根据替代方案，ESL将向客户供应议定数量之软件许可及服务。终止服务协议以及获取并向客户提供替代软件产品之总成本估计介乎400万港元至800万港元。
截至本公告日期，ESL正与客户就终止服务协议及提供替代解决方案之条款进行磋商，且尚未与客户订立任何具约束力之协议。
