智通财经APP讯，三宝科技(01708)发布公告，董事会建议征求股东批准罢免沙敏先生为本公司非执行董事，沙先生的建议罢免须于本公司股东会上获股东批准并通过选举新董事填补其空缺后，方可生效。
高立辉先生及胡汉辉先生已辞任本公司独立非执行董事及彼等于审核委员会、薪酬委员会及提名委员会的职务。彼等的辞任将于本公司股东会上通过选举新董事填补其空缺后生效。
董事会建议征求股东批准委任张成吉先生为本公司非执行董事、委任张斌先生及徐高彦女士为本公司独立非执行董事，张成吉先生、张斌先生及徐高彦女士的建议委任须于本公司股东会上获股东批准后，方可生效。
本公司执行董事马风奎先生辞任授权代表，本公司执行董事(董事长兼行政总裁)刘飞先生已获委任为授权代表，授权代表的变更自2025年11月27日起生效。
