智通财经APP讯，宝发控股(08532)发布公告，公司建议实施股本重组，当中涉及股份合并、股本削减及股份拆细如下：董事会建议将公司股本中每10股每股面值0.01港元的已发行及未发行现有股份合并为公司股本中1股每股面值0.1港元的合并股份。
董事会建议，于紧随股份合并生效后实施股本削减，据此，(a)因股份合并产生的公司已发行股本中的任何零碎合并股份应予注销;(b)公司已发行股本将会削减，透过对每股当时已发行合并股份注销实缴股本0.099港元，将每股已发行合并股份面值由0.1港元削减至0.001港元。股本削减产生的进账额约为840.26万港元，将由公司根据所有适用法律及公司组织章程大纲及细则允许的任何方式使用。紧随股本削减生效后，每股面值0.1港元的法定但未发行合并股份将拆细为100股每股面值0.001港元的新股份。新股份彼此之间根据公司组织章程大纲及细则将在所有方面享有同等地位。
于本公告日期，现有股份以每手买卖单位8000股现有股份于联交所买卖。待股份合并生效后，于联交所的每手买卖单位拟由8000股现有股份更改为1.6万股合并股份。
