长城汽车拟设长期激励基金,绑定核心人才共谋长远发展

     中访网数据  长城汽车股份有限公司于2025年12月3日发布《长期激励基金管理办法》,旨在建立长效激励机制,绑定核心人才与公司长期价值。根据公告,该基金将从2025年度开始实施,覆盖公司董事(不含独立董事)、高级管理人员及其他对公司业绩与战略有重要作用的核心人员。基金计提与公司年度净利润挂钩,当年度净利润未超过上一年度时,计提上限为净利润的1%;当净利润实现增长时,计提上限可提高至净利润的3%。提取的基金将计入当期损益,主要用于支持核心人员参与公司股权激励或员工持股计划、进行现金奖励等用途。该方案需满足最近一年财报及内控审计无否定意见等前提条件,并由公司股东会授权董事会负责年度提取与使用方案的审批。此举被视为长城汽车完善治理结构、吸引和保留关键人才、推动战略目标实现的重要举措。
