智通财经APP讯，九源基因(02566)发布公告，因达到退休年龄，马红兰女士已向董事会提呈辞任非执行董事。马女士将于本公司即将召开的临时股东会选举产生新任非执行董事填补空缺当日起不再担任本公司董事职务。
董事会建议委任严玮婷女士为非执行董事，其委任将自股东于临时股东会上审议通过之日起生效至第一届董事会任期届满为止。
此外，于2025年12月2日，董事会已审议并批准关于建议实施H股全流通的议案，即拟将12名股东持有的1.36亿股本公司未上市股份转换为本公司H股(约占本公司于本公告日期已发行股份总数的55.54%)。于取得所有相关批准(包括中国证监会备案)并符合所有适用法律、法规及规则后，该等未上市股份将转换为H股，且本公司亦将向联交所申请该等H股于联交所上市及买卖的许可。该转换及上市须经股东于临时股东会上以普通决议案方式批准。
