12月3日，复宏汉霖（02696）发布公告，公司与奥鸿药业订立合作协议，奥鸿药业同意授予公司于区域内及领域内商业化运营许可产品的独家许可权。该合作协议是在双方于2025年8月7日签署的合作备忘录基础上达成的，合作备忘录已于签署合作协议时自动终止。
根据合作协议，许可产品枸橼酸伏维西利胶囊作为CDK4/6小分子抑制剂，已获批用于HR+、HER2–的乳腺癌治疗，符合公司的商业化布局，预计将丰富公司的产品线，并借助现有乳腺癌商业化团队和资源提升未来收入规模。
合作协议中规定，货款保证金为5000万元，需在协议生效后10日内支付。奥鸿药业将在许可产品首次上市销售后10周年内全额退还该保证金。
此外，合作协议还涉及在公司可覆盖发货地区的供货交易，相关年度上限的最高适用百分比率超出0.1%但低于5%，因此需遵守上市规则的申报及公告规定，但获豁免独立股东批准的要求。至于公司不能覆盖发货地区的商业化服务交易，由于相关年度上限的最高适用百分比率低于0.1%，因此获豁免遵守上市规则的申报及公告要求。
