12月3日，德林控股（01709）发布公告，宣布与卖方签订比特币矿机正式协议，计划收购2200台S21XP HYD比特币矿机，总代价为2185万美元。此次收购的资金将通过发行可换股债券、认股权证和获利股份进行支付。
可换股债券的本金为2185万美元，认股权证的数量为4000万份，初步认股权证行使价为每股3.8港元，认股权证持有人可按此价格认购最多4000万股股份。
此次交易预计将在2025年12月23日举行股东特别大会进行表决，相关股份的过户登记将于2025年12月18日至2025年12月23日暂停。公司认为，此次比特币矿机收购将有助于提升其在数字资产及区块链领域的竞争力，并为股东带来长期的财务回报。
