智通财经APP讯，白云山(00874)公布，于2025年12月1日，董事会通过了关于广州医药开展应收账款资产证券化业务的议案。据此，广州医药作为卖方及原始权益人拟与计划管理人签订基础资产买卖协议，向计划管理人出售基础资产，而计划管理人作为买方同意根据基础资产买卖协议的条款购买基础资产并设立专项计划发行总额不超过人民币30亿元的资产支持证券，同时亦担任专项计划的管理人。计划管理人将在上交所批准上述发行之日起计算的2年内分期发行专项计划，每期专项计划的存续期不超过2年。截至本公告日，广州医药尚未就拟进行的本次交易签署任何具有法律约束力的协议。
基础资产指广州医药及其子公司基于药品销售、医疗器械销售等业务对公立二级及以上医院或商业公司(若有)形成的应收账款债权及其附属权利(若有)。基础资产包括初始基础资产和新增基础资产。
广州医药通过本次交易利用应收账款进行资产证券化，可以将应收账款转变为流动性较高的现金资产，达到盘活资产存量、拓宽融资渠道、优化自身财务结构的目的。从本次交易所得款项拟用于补充广州医药的流动资金或置换债务。
