智通财经APP讯，北方矿业(00433)发布公告，于2025年12月4日(交易时段后)，本公司(作为卖方)与买方李小龙(作为买方)订立买卖协议，据此，本公司有条件同意出售，而买方有条件同意购买销售股份。
将予出售资产为销售股份，相当于目标公司久龙投资(上海)有限公司的全部已发行股本。根据买卖协议，销售股份的代价应为100万港元，并将由买方于完成时以现金结付。
完成后，采矿业务将成为余下集团的唯一主要业务。采矿业务主要包括在中国开采、勘探、生产及销售钼精粉。自2009年12月起的十多年间，该等业务一直透过本公司的附属公司陕西省洛南县九龙矿业有限公司(九龙矿业)进行。
出售集团的财务表现乃主要来自于安徽同心及其附属公司的化学品买卖经营业绩。本集团于2024年下半年开展其铝金属买卖业务。该业务分部自开展以来仅产生微薄收益，且并无持有任何重大资产。出售集团其他成员公司均无经营任何业务，亦无持有本集团任何重大资产。
董事认为，建议出售事项实乃本集团重塑其业务策略重心及将资源重新分配至发展其主要采矿业务的宝贵机会。
