智通财经APP讯，洲际船务(02409)发布公告，于2025年11月28日(联交所交易时段后)，买方与卖方江苏大津重工有限公司及先前买方(公司的间接全资附属公司Seacon Shipping Pte. Ltd.)订立更替协议，据此，先前买方同意向买方转让造船合约项下的所有权利及义务。更替完成后，除更替协议所载之修订外，有关六艘船舶的造船合约经更替后继续具十足效力及作用，总代价约为1230万美元，即先前买方直至各更替协议日期根据造船合约支付的总金额。

更替符合集团的持续战略，即通过维持船队组合均衡，以优化其船队。董事认为，更替为以合理价格更替造船合约的机会，这将使集团能够改善其营运资金状况，进一步加强其流动性，并为收购船舶提供资金，以优化本集团的船队组合。

此外，于2025年9月29日，公司间接全资附属公司SG XINDE INVESTMENT (HK) LIMITED订约收购中集鑫德租赁(深圳)有限公司(该公司全资拥有买方)40%的股权。因此，通过更替造船合约，买方(集团拥有40%的权益)的干货运输能力将会增加，买方将能够更好地满足市场对其干散货航运服务的需求，预期将为集团产生额外经济效益，符合集团的整体业务策略及长远利益。公司将持续注视航运业的现行市场状况，并监察及适时调整集团的船队组合。
