智通财经APP讯，恒发光学(01134)公布，就控股股东顶锋可能出售公司已发行股本总额约54.19%，于2025年11月29日，顶锋与董事会获告知，潜在买方将不会继续进行可能出售事项。潜在买方与顶锋有关可能出售事项的讨论已予终止及概无订立任何正式协议。因此，该公告所述根据收购守则第26.1条就所有已发行股份(潜在买方及其一致行动人士已拥有或同意收购的股份除外)提出的可能强制性无条件全面要约将不会进行。董事会进一步了解到，该公告所述潜在买方与公司少数股东的讨论(包括独立非执行董事梁家钿先生)亦已终止，且概无订立任何正式协议。就收购守则而言，要约期于本公告日期结束，即2025年12月1日。 公司已向联交所申请于2025年12月2日上午九时正起恢复股份于联交所买卖。
