智通财经APP讯，众安集团(00672)发布公告，于2025年12月1日，本公司与配售代理订立配售协议，据此，本公司同意透过配售代理按配售价向配售代理或其代表按尽力基准物色的不少于六名独立承配人配售最多3700万股配售股份，相当于本公告日期已发行众安智慧股份总数约7.15%。
每股配售股份2.08港元较众安智慧股份于2025年12月1日在联交所所报收市价每股2.040港元溢价约 1.96%。
于本公告日期，本公司间接持有已发行众安智慧股份总数约71.28%。待配售事项完成后，假设所有3700万股配售股份均获配售代理成功配售，则本公司将间接持有已发行众安智慧股份总数约64.13%。因此，众安智慧将继续为本公司的附属公司，且众安智慧的财务业绩将继续并入本集团财务报表。
假设所有3700万股配售股份均按配售价2.08港元获配售，则出售事项所得款项净额(经扣除与出售事项有关的开支后)估计约为7496万港元。出售事项所得款项净额拟用作本集团的一般营运资金。
