智通财经APP获悉，国锐生活(00108)尾盘跌超4%，截至发稿，跌4.02%，报3.82港元，成交额2643.22万港元。

消息面上，国锐生活发布公告，内容有关本公司与卖方就本集团可能收购潜在标的(主要从事数字医疗服务)的100%股权订立不具法律约束力的意向书。董事局欣然宣布，于2025年12月5日，本公司并表附属实体中国经营实体(作为买方)与卖方订立该等协议，中国经营实体有条件同意购买而卖方有条件同意出售销售股份(目标公司北京春雨天下软件已发行股本总额约78.3%)，代价约为人民币2.69亿元(相当于约2.948亿港元)，将透过按发行价每股代价股份1.6港元发行及配发1.47亿股代价股份偿付，惟须符合先决条件。

就建议收购事项而言，中国经营实体与卖方于2025年12月5日订立四份协议，即股份买卖协议；现金买卖协议；A类认购协议；及B类认购协议。股份买卖协议将于本公司、中国经营实体与卖方正式签署后立即生效。根据其条款，倘所有适用认购人未能于股份买卖协议日期起365日内获得必要的ODI批准，股份买卖协议将予以终止。尽管现金买卖协议与股份买卖协议于同日签署，惟仅于股份买卖协议终止后方告生效。现金买卖协议乃于股份买卖协议未能继续进行的情况下作为建议收购事项的替代结算安排。
