　　北京时间12月8日晚间消息，派拉蒙于本周一向华纳兄弟探索公司发起敌意收购要约，直接向其股东抛出收购方案。而就在几天前，华纳兄弟刚与奈飞敲定一项合作协议。

　　派拉蒙由大卫・埃里森执掌，该公司提出以每股30美元的全现金方案收购华纳全部股份。华纳旗下拥有美国有线电视新闻网（CNN）、特纳广播公司（TBS）、家庭与花园电视网（HGTV）等多家电视网，以及HBOMax流媒体服务平台。派拉蒙方面称，这一收购方案对股东更有利，且更易通过监管审批。派拉蒙表示，相较奈飞给出的交易对价，该要约可为股东多带来180亿美元的现金收益。

　　埃里森在一份声明中表示：“这一收购方案能提供更优价值，且交易完成的路径更明确、进程更迅速。”

　　根据华纳与奈飞上周五官宣的交易条款，华纳将进行业务分拆，随后奈飞将以现金加股票的形式，斥资720亿美元（折合每股27.75美元）收购华纳的影视制作业务及HBOMax流媒体业务。

　　派拉蒙选择直接向华纳股东提出收购要约，此举或将引发一场激烈的公开争夺战，争夺焦点正是华纳旗下一众备受青睐的资产，包括HBO、《哈利・波特》系列版权以及DC漫画相关IP等。
