智通财经APP讯，粤港湾控股(01396)发布公告，于2025年12月8日，董事会已决议终止现有股份期权计划。本公司于2019年5月30日采纳现有股份期权计划，旨在通过授出股份期权鼓励及/或奖励对本集团作出贡献的本集团成员公司雇员及董事。现有股份期权计划自采纳之日起10年内有效。根据现有股份期权计划的计划规则，现有股份期权计划可由董事会于董事会会议上通过董事会决议案予以终止，无须经股东批准。在此情况下，不得根据现有股份期权计划进一步授出股份期权。
董事会拟于股东特别大会上向股东建议采纳股份奖励计划。建议采纳股份奖励计划将涉及本公司授出奖励股份。因此，采纳股份奖励计划将须待(其中包括)股东于股东大会上批准后方可作实，并可为本公司提供另一渠道，以具竞争力及吸引力的薪酬待遇激励选定参与者为本集团的增长及发展作出贡献，并使本集团能够吸引及挽留最优秀的人才，以发展本集团的业务。董事(包括独立非执行董事)认为，采纳股份奖励计划符合市场惯例，激励合资格参与者致力提升企业价值及实现长期目标，以谋求本集团整体利益。
