智通财经APP讯，亨鑫科技(01085)发布公告，于2025年12月7日，本公司、买方(亨通集团有限公司)及江苏亨鑫订立股权转让协议，据此，本公司有条件同意出售，而买方有条件同意收购待售股权，即目标公司(江苏亨鑫科技有限公司)39%股权，代价为现金人民币5亿元。
江苏亨鑫为根据中国法律成立的有限公司，主要从事电信和科技产品的研究、设计、开发和制造，移动通信射频同轴电缆和移动通信系统交换设备的生产。于本公告日期，江苏亨鑫为本公司的直接全资附属公司。
为订立出售事项，董事会已主要考虑以下因素：(i)战略性出售部分无线通信业务以应对股份表现不佳的状况并聚焦于高增长机遇;(ii)增长业务的增长前景;(iii)代价的公平性及合理性。
