智通财经APP讯，TOPSTANDARDCORP(08510)发布公告，于2025年12月5日，本公司与认购人Focus Dynamic Group Limited订立认购协议，认购人已有条件同意认购而本公司已有条件同意配发及发行合共3981.31万股认购股份，认购价为每股认购股份0.10港元。
认购股份相当于本公司于本公告日期的已发行股本约20.0%;及紧随认购事项完成后经发行及配发认购股份而扩大的本公司已发行股本(假设除发行认购股份外，自本公告日期起至完成日期，已发行股份总数并无任何变动)约16.7%。认购股份的总面值将为398.13万港元，而认购股份的市值为469.79万港元，乃按认购协议日期每股股份收市价0.118港元计算。
认购价定为每股认购股份0.10港元，指联交所于认购协议日期所报每股收市价0.118港元折让约15.25%;及联交所于紧接认购协议日期前五个交易日所报每股收市价约0.124港元折让约19.35%。
认购事项的所得款项将为398.13万港元。本公司拟将认购事项的所得款项用作本集团的一般营运资金。
