格隆汇12月5日丨正通汽车(01728.HK)宣布，于2025年12月5日(交易时段后)，厦门正通(公司的全资附属公司)与厦门信达及信达国贸汽车订立收购协议(中国)，以约人民币7.93亿元的临时收购价(中国)收购信达国贸汽车100%的股权。信达国贸汽车为厦门信达于中国从事4S经销业务以及汽车销售及出口业务的控股公司。
同日，通达集团(公司的全资附属公司)及升涛(公司另一全资附属公司)与信达诺及信达(新加坡)和国贸汽车(泰国)订立收购协议(泰国)，以约人民币2213万元的临时收购价(泰国)收购国贸汽车(泰国)100%的已发行股本。国贸汽车(泰国)现处于在泰国开设汽车销售门店的起步阶段，尚未展开实质性业务营运。
信达国贸汽车集团与国贸汽车(泰国)合共代表厦门信达旗下全部4S经销业务以及汽车销售及出口业务。有关收购事项(中国)及收购事项(泰国)仅于收购事项(中国)及收购事项(泰国)的所有先决条件(包括取得独立股东批准)获达成时，方会进行。
