智通财经APP讯，鋑联控股(00459)及要约人Wealth Builder Holdings Limited联合公布，于2025年12月3日，要约人要求董事会向计划股东提呈有关建议以计划方式将公司私有化的建议，倘建议获批准及实施，将导致要约人根据公司法第86条将公司私有化及撤销股份在联交所的上市地位。根据计划，注销价将为每股计划股份港币0.133元，较股份于最后交易日在联交所所报收市价每股港币0.075元溢价约77.33%。公司已向联交所申请自2025年12月10日(星期三)上午九时正起恢复股份买卖。
据悉，要约人由黄建业先生透过Luck Gain间接及实益全资拥有。于公告日期，除持有股份权益外，要约人并无从事任何业务活动。黄建业先生为公司主席兼执行董事，亦为要约人的董事及唯一最终实益股东。
