智通财经APP讯，永升服务(01995)发布公告，于2025年12月12日，Spectron Enterprises Limited(Spectron)(旭辉控股的一间全资附属公司)已与LMR Multi-Strategy Master Fund Limited订立为期三年的预付认购期权交易及就4.07亿股本公司股份订立出售及掉期交易(统称为建议交易)。
于生效日期，Spectron将转让其于本公司的全部股权(占本公司截至本公告日期已发行股本总额的约23.54%)，该转让将导致本公司不再于旭辉控股的财务报表中合并入账。
董事会预期，即使建议交易落实，亦不会对本集团的业务运营造成任何不利影响;本公司将于适当时候，根据上市规则及适用法律就建议交易作出进一步公告。
