华润饮料（02460）发布公告，2025年12月11日，公司与华润（集团）及华润股份分别订立了2026-2028年境外框架贷款协议及境内框架贷款协议。协议的期限自2026年1月1日至2028年12月31日，贷款人包括公司的附属公司，借款人则包括华润（集团）及其附属公司，借款货币为港元、人民币或美元。根据框架贷款协议，贷款的最高未偿还款项总额在每个年度内每日最高为8亿元人民币。
截至本公告日期，公司由华润（集团）间接持有约50.04%股权，华润（集团）由华润股份间接全资拥有，因此这两者均为公司的关联人士。
公司认为，订立框架贷款协议将提供更高的灵活性，以便有效管理盈余现金资源，并为公司及其附属公司提供支持。
