智通财经APP讯，TL NATURAL GAS(08536)公布，于2025年12月16日，公司与华特动力及九域投资控股订立合营协议，内容有关成立合营企业，于增资完成后，该合营企业将分别由该集团、华特动力及九域投资控股持有51%、24.5%及24.5%权益。合营企业集团将主要从事深圳市超算力量科技在中国开发及部署的甲醇氢燃料电池离网供电系统及液冷式超级充电站(包括但不限于已投入运营及在建中的项目)的管理及营运业务。
于本公告日期，合营企业已根据合营协议注册成立，由该公司间接全资拥有。该公司将促使合营企业于中国深圳成立外商独资企业，注册资本为人民币500万元。根据合营协议的条款及条件，于增资完成时，合营企业应发行，而华特动力及九域投资控股应认购合共294万股合营企业股份，华特动力、九域投资控股分别出资147万港元。
董事会相信，电力收费市场具备利好发展前景。成立合营企业将使集团得以凭借华特动力与九域投资控股的资源进入电力收费市场，特别是华特动力作为电力收费市场的成熟参与者，在中国甲醇氢燃料电池离网供电系统及液冷式超级充电站的管理及营运方面拥有丰富经验、专业知识及卓越业绩。
