智通财经APP讯，升华兰德(08106)发布公告，自2025年12月15日临时股东大会结束起：陈平先生及黄廉熙女士已分别辞任公司非执行董事兼副董事长及独立非执行董事职务;及余铮先生及张明波先生已分别获委任为公司执行董事兼副董事长及独立非执行董事。
自2025年12月15日临时股东大会结束起：陈平先生辞任审核委员会成员; 黄廉熙女士辞任提名委员会成员及主席;张明波先生获委任为审核委员会成员;及黄轩珍女士获委任为提名委员会成员及主席。
国卫已获委任为公司核数师，自2025年12月15日起生效，任期直至公司下届股东周年大会结束时止。
此外，董事会宣布，建议更改公司名称，即将公司中文名称由“浙江升华兰德科技股份有限公司”更改为“浙江芯化兰德科技股份有限公司”以及公司的英文名称由“Shenghua Lande Scitech Limited”更改为“Xinhua Lande Scitech Co., Limited”， 已获股东于临时股东大会上批准。
