智通财经APP讯，重庆钢铁股份(01053)发布公告，公司于2025年12月19日召开了第十届董事会第二十二次会议，审议通过了公司2025年度向特定对象发行A股股票(以下简称“本次发行”)的相关议案。公司与本次发行的认购对象华宝投资有限公司(以下简称“华宝投资”)于2025年12月19日签署了《重庆钢铁股份有限公司与华宝投资有限公司之股份认购协议》(以下简称“《股份认购协议》”)，华宝投资拟以现金方式认购公司本次发行的股份。
公司本次发行募集资金总额预计不超过10亿元(含本数)，扣除相关发行费用后将全部用于补充流动资金及偿还银行贷款。募集资金规模以有关审批机关、监管机构最终核准的方案为准。其中，华宝投资拟认购金额为10亿元。华宝投资与公司控股股东重庆长寿钢铁有限公司(以下简称“长寿钢铁”)同受中国宝武控制，为公司的关联法人，本次发行构成关联交易。
