智通财经APP讯，国药科技股份(08156)发布公告，股东周年大会结束后，程彦杰博士(程博士)已轮值退任本公司非执行董事。
刁志强先生(刁先生)及余秉明先生(余先生)均已在股东周年大会上由本公司股东选举为本公司独立非执行董事。
董事会进一步宣布许东安先生(许先生)因其他商业事务，已辞任本公司独立非执行董事，自2025年12月19日(股东周年大会结束后)起生效。
董事会进一步宣布以下董事会委员会组成变更，所有变更均自2025年12月19日(股东周年大会结束后)起生效：(1)许先生已辞任本公司提名委员会主席及审核委员会、薪酬委员会及提名委员会成员;(2)郭淑仪女士获委任为薪酬委员会及提名委员会成员;(3)刘斐先生获委任为提名委员会成员及主席;(4)刁先生获委任为审核委员会、薪酬委员会及提名委员会成员;及(5)余先生获委任为审核委员会、薪酬委员会及提名委员会成员。
