南财智讯12月18日电，通天酒业（00389.HK）公告，公司股份已由2024年9月2日上午九时正起在联交所暂停买卖，并将继续暂停直至另行通知为止。公司已刊发所有尚未公布的财务业绩，包括2024年中期业绩、2024年年度业绩及2025年中期业绩和相关报告。核数师对2024年年报中存在重大不确定性出具保留意见，可能影响2025年度业绩的期初财务报表，但不会对当期财务报表造成其他影响。董事会确认，集团在终止综合入账后录得收益约人民币5970万元及总资产约人民币2.183亿元，具备足够营运规模及资产价值以符合上市规则第13.24条。公司已向联交所提交定性分析报告证明合规。针对主要附属公司股权被未经授权转让事项，公司已提起诉讼，案件已于2025年11月12日开庭审理，目前等待法院裁决。公司已委任独立内控专家进行内部审查，内部控制报告草稿已提交联交所审阅。现任董事会自2024年11月全面接管以来，已完成附属公司董事会重组，确保对集团的控制权，且无证据显示现任管理层或主要营运者存在不当行为。集团业务目前由烟台附属公司正常运营。股东及投资者买卖公司证券时应谨慎行事。
