智通财经APP讯，吉宏股份(02603)发布公告，厦门吉宏科技股份有限公司(以下简称“公司”)于 2024 年 11 月 19 日召开第五届董事会第二十四次会议，审议通过《关于全资子公司参与认购投资基金份额的议案》，同意公司全资子公司香港吉宏科技有限公司(以下简称“香港吉宏”)以自有资金 1,800 万美元认购香港开放式基金型公司 Novus Spectrum Growth OFC 之子基金 Novus Spectrum Growth I Fund 的投资基金份额。
香港吉宏于近期向基金管理人新视资本有限公司提交申请，完成对所持基金份额类别的调整，通过赎回原份额后再认购的方式优化投资配置结构，即香港吉宏先行赎回所持有的全部 Class B 类别的基金份额，对应结算总额约为 1,900 万美元(经财务部门初步测算，本次赎回基金的年化投资收益率约为 4.3%)，随后再使用其中的 900 万美元重新认购该基金的 Class A 类别份额。
本次交易实质为同一基金下不同类别份额间的转换，相较于原 Class B 类别， Class A 类别在资产分配优先权及优先回报权方面提供更强的保障优势，根据基金管理人安排，该基金已将本次新认购后净额差值 1,000 万美元支付至香港吉宏银行账户。公司全资子公司香港吉宏仍持有 Novus Spectrum Growth I Fund 基金投资份额为 900 万美元。
