智通财经APP讯，国富量子(00290)发布公告，贷款资本化协议的所有先决条件均已达成，贷款资本化已于2025年12月24日根据贷款资本化协议的条款及条件完成。紧随完成后，合共4.59亿股资本化股份已根据特别授权按发行价每股资本化股份1.28港元正式配发及发行予贷款人(即柳志伟博士，作为认购人)。
配发及发行资本化股份的代价约5.87亿港元将通过抵销还款金额约5.87亿港元的方式结算。于本公告日期，还款金额将被视为已偿还，而本集团于完成后就贷款协议项下的股东融资而言将欠负贷款人8000万港元。
资本化股份占紧接完成前已发行股份总数约5.04%;及紧随完成后经配发及发行资本化股份扩大后已发行股份总数约4.80%。资本化股份(每股面值0.10港元)的面值为4587.698万港元。
