智通财经APP讯，NEXION TECH(08420)公布，于2025年12月22日，该公司拟向Muhammad Ridzuan Gurbaksh Bin Abdullah出售Big Focus及Rich Joy的全部股权，总代价为50万港元，将以现金方式支付。
据悉，巨确为一间于香港注册成立的有限公司及Big Focus 的全资附属公司，主要从事投资控股;及湖南渌江为一间于中国注册成立的公司及巨确的全资附属公司，主要于中国从事SaaS业务。 威发为一间于香港注册成立的有限公司及Rich Joy的全资附属公司，主要从事投资控股;及耐信为一间于中国注册成立的公司及威发的全资附属公司，主要于中国从事SaaS业务。
考虑到集团SaaS业务长期表现欠佳，且前景不佳、经营业绩亏损，目标集团于2023年度、2024年度及截至2025年9月30日止九个月的财务资料均佐证此情况;及出售事项符合集团将资源重新分配至网络安全解决方案及IT 软件业务核心业务的策略，董事认为协议条款符合正常商业条款，属公平合理，且出售事项符合公司及股东的整体利益。
