彩星集团(00635.HK)主要附属公司的主要特许权协议自2027年起将不获续期

　　格隆汇12月23日丨彩星集团(00635.HK)公布，承彩星玩具(00869.HK)公布所，根据 Viacom Media Networks 作为特许权授予人("特许权授予人")与彩星玩具(00869.HK)集团全资附属公司彩星玩具国际有限公司("PICL")作为特许权被授权人签订之现行特许权协议，PICL 获授予设计、制造、分销及销售“忍者龟”产品("特许权产品")的权利。自2025年10月起，双方一直就特许权协议续期进行磋商，惟 PICL 最近已接获特许权授予人的正式通知，特许权协议于2026年12月31日届满后将不获续期。因此，PICL 销售特许权产品之权利将于2026年12月31日终止，而根据特许权协议，PICL 处置特许权产品存货的权利将于其届满后九十天终止。 　　根据彩星玩具(00869.HK)资料，特许权产品销售收入分别约占截至2021年12月31日、2022年12月31日、2023年12月31日、2024年12月31日止年度及截至2025年6月30日止六个月的彩星玩具综合收入约 8%、13%、77%、47% 及 36%。 　　由于彩星玩具为公司主要附属公司，预期上述发展将对本集团之综合财务表现产生相应影响。根据本集团之资料，特许权产品销售收入分别约占集团于截至2021年12月31日、2022年12月31日、2023年12月31日、2024年12月31日止年度及截至2025年6月30日止六个月的综合收入约6%、9%、67%、40%及26%。
