南财智讯12月23日电，太平洋航运（02343.HK）发布须予披露交易公告，公司间接全资附属公司于2025年12月23日与卖方江门市南洋船舶工程有限公司订立四份货船购买合约，拟收购四艘40,000载重吨的新建造小灵便型干散货船，总代价约为11.92亿美元。该等货船预计于2028年第一季度及第二季度分别交付。代价将以集团现金储备及/或银行借款支付。此次收购旨在优化船队结构，提升燃油效率与载货灵活性，增强三角点贸易能力，符合公司长期发展战略。由于交易涉及相同交易方且预计在12个月内完成，根据上市规则第14.22及14.23条合并计算后构成须予披露交易，但不构成关联交易。董事会认为交易条款属公平合理，符合公司及股东整体利益。
