南财智讯12月28日电，绿叶制药（02186.HK）发布须予披露交易公告，于2025年12月25日，撤资投资者与南京信石订立股权转让协议，撤资投资者同意以人民币10.86亿元向南京信石转让其持有的南京绿叶25%股权。该交易完成后，南京信石将持有南京绿叶25%的权益，其中山东绿叶作为南京信石的有限合伙人持有约33.2%合伙权益。为保障交易安排，烟台绿叶获授南京绿叶认沽期权，可在特定条件下回购南京信石所持股权；同时中国信达亦获授中国信达认沽期权，可要求烟台绿叶收购其在南京信石的全部合伙权益。两项期权互斥，且相关交易合并计算后构成公司须予披露交易，须遵守上市规则申报及公告规定，但获豁免通函及股东批准要求。此外，深圳绿叶及绿叶制药将共同为烟台绿叶在相关协议项下的义务提供担保，烟台绿叶及深圳绿叶亦将为南京信石不超过人民币6.48亿元的银行融资提供担保。
