智通财经APP讯，堃博医疗-B(02216)公布，于2025年12月29日，该公司全资附属Broncus China Holding Corporation拟向启明医疗(香港)有限公司收购Valgen Holding Corporation15.78万股B系列优先股，占目标公司截至本公告日期按全面摊薄及转换基准计算的发行在外股份的1.05%，总代价1500万美元。目标集团主要从事提供二尖瓣反流及三尖瓣反流等疾病的系统解决方案。其产品包括二尖瓣修复装置DragonFly™(经股静脉途径)及三尖瓣修复装置DragonFly-TTM。
鉴于结构性心脏病与肺部疾病之间存在相似性及关联性，董事会相信，收购事项提供了让集团得以实现心肺疾病综合诊断及治疗的宝贵机会。凭借公司在慢性阻塞性肺病方面的专业知识，与目标集团的合作将使集团能够为建立心肺疾病综合诊断和治疗平台奠定坚实基础。此外，由于结构性心脏病及肺部疾病的治疗均涉及介入疗法，故收购事项亦为集团提供了提升其研发能力的机会，将其结构性心脏病的治疗技术应用于肺部疾病的治疗，反之亦然。
