董事会欣然宣布已委任田文果先生担任本公司独立非执行董事以填补临时空缺，以及担任审核委员会成员，自2025年12月29日起生效。因此，根据本公司第二次经修订及重列的组织章程大纲及细则，田先生将任职至其获委任后本公司首届股东大会，即本公司应届股东周年大会为止，并可于股东周年大会上由本公司股东重选连任。
董事会进一步宣布，由于王博士已辞任审核委员会成员及田先生已获委任为审核委员会成员，审核委员会将由黄斯颖女士(主席)、姜培兴先生及田先生组成，自2025年12月29日起生效。
