智通财经APP讯，德斯控股(08437)发布公告，于2025年12月31日(交易时段后)，公司(作为卖方)与买方Yan Xianchang先生订立买卖协议，据此，卖方同意出售而买方同意购买待售股份(目标公司的全部已发行股本)，代价为1港元。完成后，目标公司德斯(香港)控股有限公司将不再为公司的附属公司，而公司亦将不再持有目标公司的任何已发行股本。因此，目标公司的财务业绩将不再综合并入集团的综合财务报表。
董事会认为，出售事项将不会对集团整体的财务状况及营运造成任何重大不利影响。出售事项将使集团能够借减少负债及降低资产负债率，提升其财务状况;精简业务营运;及重新分配现有资源以重点发展其核心业务。董事会认为出售事项的条款为正常商业条款，属公平合理且符合公司及其股东的整体利益。
