智通财经APP讯，上海实业控股(00363)发布公告，董事会已获公司直接控股股东上实集团告知，内部重组建议于2025年12月29日完成，而金钟已注册为上实集团全部已发行股份的拥有人。为免生疑问，上实集团的注册拥有权于内部重组建议完成后变更至金钟并不涉及收购投票权。投票权目前由上海市政府拥有，并于所有重要时刻一直由上海市政府拥有。
因此，于本公告日期，金钟间接持有公司控股权益(即公司已发行股份约63.16%)、上海实业城市开发集团有限公司(00563)控股权益(即上实城开已发行股份约70.44%)及上海实业环境控股有限公司(00807)控股权益(即上实环境已发行股份约50.12%)。上实城开及上实环境均为公司的非全资附属公司。由于上实集团、上海上实及金钟目前及在所有重要时刻均由上海市政府实益全资拥有，故公司、上实城开及上实环境的最终控制权仍由上海市政府拥有。因此，于内部重组建议完成后，公司、上实城开及上实环境的最终控制权并无出现变动。
