智通财经APP讯，云能国际(01298)发布公告，本公司获悉，香港云能国际投资有限公司(YEI(HK))已向其全资附属公司包迪国际投资有限公司(包迪)收购本公司201,196,995股股份(目标股份)(占本公司于本公告日期已发行股份数目约73.05%)，该项股份转让(股份转让)已于2025年12月29日完成。 YEI(HK)已成为本公司的直接控股股东，而包迪则不再持有本公司任何权益。本公司最终控股股东为云南省能源投资集团有限公司(YEIG)，于股份转让前后均维持不变。

根据香港公司收购及合并守则(收购守则)规则26.1，若因股份转让导致YEI(HK)取得本公司逾30%投票权，则须就本公司所有已发行股份提出强制性全面收购要约，惟获证券及期货事务监察委员会企业融资部执行董事(执行董事)豁免者除外。就此，本公司已获知悉，YEI(HK)已根据收购守则规则26.1第6(a)条申请豁免提出强制性全面收购要约的责任，而执行董事已于2025年9月9日批准该项豁免。

本公司获悉，股份转让的原因及商业理据在于，于转让完成后，YEI(HK)将直接持有其全资附属公司包迪原先持有的所有目标股份，从而减少一层控股架构，并简化本公司控股股东的股权架构。

本公司认为，股份转让将不会对本公司及其附属公司的财务及营运造成任何不利影响。本公司董事会的组成维持不变。
