智通财经APP讯，乐舱物流(02490)发布公告，于2025年12月30日，公司附属公司Lehang Boundless与 Blue Anchor订立2025年框架协议，据此，Lehang Boundless应根据2025年约务更替协议将2024年造船协议项下所有权利及义务约务更替予Blue Anchor，而 Blue Anchor则应支付金额为1.70亿美元的总代价，其中6864万美元应支付予Lehang Boundless。根据2025年框架协议，于同日，Lehang Boundless、Blue Anchor、中船贸易及江南造船订立2025年约务更替协议，据此，Blue Anchor将替代Lehang Boundless成为2024年造船协议项下的买方，且Blue Anchor将接管及承担 Lehang Boundless于2024年造船协议项下的所有权利及义务。
已出售船舶指2024年造船协议项下预期正在建造的船号为H2872、运力为14,000TEU的大型集装箱船舶，其为2025年框架协议及2025年约务更替协议的标的。集团为中国一体化跨境海运物流服务提供商。经考虑集团就已出售船舶建造支付的成本及已出售船舶的代价，本公司认为2025年框架协议及2025年约务更替协议项下拟进行的交易是集团提前实现已出售船舶价值的绝佳机会，预计将带来约2010万美元的净收入。有关收入将补充集团的现金流量，进一步增强其财务稳定性及为集团带来可观的财务收益。
