南财智讯12月29日电，科利实业控股（01455.HK）发布须予披露交易公告，于2025年12月29日，公司全资附属公司科利实业有限公司（承租人）与深圳市马田石围股份合作公司（出租人）订立补偿分配协议，出租人同意就因中国深圳市公明将石地区重建计划导致的目标土地租赁协议变更，向承租人支付2732万元人民币作为现金补偿。补偿金额经双方公平磋商确定，参考了政府机构马田街道办事处向出租人支付的建筑物收回补偿总额3903万元人民币，并按出租人与承租人30%:70%的比例分摊，承租人获得其中70%。该重建计划涉及收回面积为5895.57平方米的目标土地，其中部分用作员工宿舍及仓库，但公司认为对集团运营及生产无重大影响。此外，双方同日订立补充租赁协议，调整租赁土地面积、退还预付租金16.85万元人民币，并自2026年1月1日起免除目标土地管理费。集团预计从本次交易中获得净收益约2084万元人民币（除税前），所得款项净额约2450万元人民币将用于一般营运资金。董事认为交易条款公平合理，符合公司及股东整体利益。
