智通财经APP讯，璋利国际(01693)公布，于2025年12月31日，公司(作为发行人)与受托人KP Lee Chambers(作为认购人)订立资本化协议，拟以每股资本化股份2.320港元按特别授权向受托人发行约2958.87万股资本化股份，以结算BGMC Corporation结欠相关独立可赎回有抵押贷款债券持有人的有关未偿还可赎回有抵押贷款债券。认购人根据资本化协议应付的认购金额约6864.59万港元，将透过悉数抵销BGMC Corporation结欠相关独立可赎回有抵押贷款债券持有人的有关未偿还可赎回有抵押贷款债券的方式偿付。资本化股份相当于(i)公司于本公告日期已发行股本约74.74%;及(ii)公司经配发及发行资本化股份扩大的已发行股本约42.77%。
