　　天元医疗（00557）公布，于2025年12月31日，该公司间接全资附属中宁县乐康医疗科技有限公司拟向邹从贤女士和邹蜜贤女士收购宁夏德尚门诊部有限责任公司70%股权，代价为人民币210万元。目标公司为于中国进行体检业务而设立。

　　透过收购事项，集团将取得目标公司的控股权益。预期上目标公司将持续产生收益，而收益主要来源于在中国提供体检服务。集团认为，目标公司运营的体检中心的营业面积约为3，869平方米，拥有44名员工，其中主任医师、副主任医师6名，该体检中心将逐步展示其在所属地区行业的竞争实力。

　　集团一直积极于中国拓展医疗服务领域，收购事项符合集团在医疗业务领域的拓展策略，也是加强其在医疗业务分部现有主要业务的机会，并可透过目标公司的区域优势与业务基础，实现资源整合与优势互补，支持集团在中国医疗市场的持续拓展。董事相信，收购事项将对集团表现带来协同效应，契合整体发展策略，并为未来成长提供坚实动力。
