智通财经APP讯，中证国际(00943)发布公告，于2025年12月31日(联交所交易时段后)，公司与卖方Elly Beauty Group Limited订立收购协议，据此，公司有条件同意收购，而卖方有条件同意出售(i)销售股权，即于完成时目标公司Elise Beauty Group Limited全部股权;及(ii)销售贷款，即于完成时目标公司结欠卖方之未偿还股东贷款总额，总代价为6250万港元，该代价将透过公司按每股代价股份0.1828港元之发行价向卖方配发及发行合共3.42亿股代价股份之方式予以偿付。
