Celularity (CELU) filed a preliminary prospectus Wednesday to offer up to 14.1 million Class A common shares for resale by existing shareholders.
The offering consists of 2,531 shares held by selling stockholders, 11.7 million shares from warrant exercises, and 2.3 million shares from convertible note conversions.
The company said it will not receive any proceeds from the sale.
