智通财经APP讯，彩生活(01778)公布，公司于2026年1月2日获告知，花样年、TFISF与Splendid Fortune Enterprise Limited(于本公告日期由曾宝宝小姐间接持有约67.36%的公司，买方)订立一份重组协议，据此，各方拟进行一系列平行交易，涉及买方于本公告日期收购公司已发行股份约21.97%;将于本公告日期公司已发行股份约10%转让予TFISF指定实体作为对据称担保的有效执行;及花样年保留于本公告日期持有公司已发行股份约9.98%，该等股份不受任何据称担保或其他申索所限。
重组协议项下拟进行的交易须待若干条件(包括但不限于由花样年召开的股东特别大会上批准重组协议)获达成或豁免后，方告完成。倘任何条件未能于最后截止日期或之前达成，则重组协议将告失效。
于本公告日期，花样年实益拥有公司已发行股份约41.95%，该等股份受据称担保所限。于重组协议项下拟进行的交易完成后，花样年将保留公司已发行股份约9.98%(假设于重组协议项下拟进行的交易完成前，公司已发行股份数目并无变动)，而公司将不再为花样年的附属公司。
