智通财经APP讯，集一控股(01495)公布，于2025年12月31日，公司与中意国际控股有限公司(买方)订立买卖协议，拟向买方出售集一投资有限公司的全部已发行股本，代价1万港元。
目标公司及其附属公司主要通过零售渠道从事建材销售，且经考虑到其于若干年份产生极少利润并取得持续亏损，已自2025年1月1日起停止运营。考虑到目标公司财务状况恶化及业务前景受限;集团财务资源因向目标公司提供财务支持而受限，而出售事项将透过剥离一间表现不佳的附属公司来精简集团架构，并减轻集团因维持一间负债净值附属公司所承受的财务负担;集团预计自出售事项取得收益;及出售事项将使管理层能透过出售表现不佳的附属公司，集中资源发展集团核心业务，并减少集团因维持负债净值附属公司可能产生的财务负担(包括持续财务支援、行政开支及管理时间)，董事(包括独立非执行董事)认为出售事项的条款属公平合理，且符合公司及其股东的整体利益。
