目标公司为一间根据中国法律注册成立的公司，主要从事科技推广和应用服务业。认购方为一间根据中国法律注册成立的公司，主要从事商务服务业。
潜在认购事项涉及出售目标公司经摊薄后的10.00%股权，将使本集团能够变现现金所得款项并加强其现金流状况。董事相信，交易将提高本集团的财务灵活性，并使本集团得以将资源分配至潜在投资及未来商机。董事认为，倘落实潜在认购事项，将拓展本集团寻求增长的能力，支持可持续发展，并提升本集团的整体竞争力。
