智通财经APP获悉，香港联交所最新资料显示，1月5日，烯石电车新材料(06128)股东将股票由USB Securities Hong Kong Limited转入昌利证券，转仓市值1825万港元，占比9.1%。

烯石电车新材料发布公告，于2025年12月1日，卖方(公司全资附属公司Happy Growth Group Limited)、买方(M2i Global, Inc.)，及出售公司(公司全资附属公司Graphex Technologies LLC)订立该协议，据此，卖方拟向买方授出购股权，购股权代价为现金50万美元(相当于390万港元)。

据此，买方可于购股权期限内及在符合先决条件的情况下，按其酌情权要求卖方进行可能出售事项，向买方出售销售单位(相当于出售公司100%已发行及流通有限责任单位)，销售单位代价为1亿美元(相当于7.8亿港元)，将以现金及代价股份支付。

公告称，考虑到近年来地缘政治的紧张局势，包括美国颁布的降低通膨法案、中国对石墨产品的出口限制以及持续的贸易战，董事会预期未来在美国的投资将面临重大挑战。董事会认为可能出售事项是集团为股东提升价值的最有利选择。透过利用现有团队的能力、人力及资源提供基本设计及技术支援，集团认为可能出售事项的条款及条件对公司及其股东整体有利。最后，可能出售事项可让集团专注于其于中国的扩展计划。
